A company is registered with the Registrar of Companies. A private company's name must end with (Private) Limited or (Pvt) Ltd.
What is wrong
- Directors not acting in good faith or in the company's interest
- Directors not using reasonable care and skill
- Not filing the annual return and required forms
- Using a name identical or confusingly similar to another company
What happens next
The Registrar of Companies can act on late filings. Shareholders or the company can sue directors who break their duties.
The punishment
Fines set by the Companies Act for filing defaults. Directors who break their duties may have to compensate the company.
What you can do
- Check the name is available on the Registrar's online system (eROC)
- Submit the application signed by the first shareholders, with director and secretary consents
- Adopt model articles or your own articles
- Keep share and director registers up to date
- Get a TIN and register for taxes after incorporation
